(a) Effective October 19, 2007, the Board of Directors of Oshkosh Truck Corporation (the “Company”) amended Article VI of the Company’s Bylaws to authorize the Company to issue shares of any class or series of the Company’s stock without a certificate and to make related changes to Article VI.
