Item 5.02 | Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. |
(e) On September 27, 2018, CBL & Associates Properties, Inc. (herein the “Company” or “CBL”), acting through its indirect wholly owned subsidiary CBL & Associates Management, Inc. executed a definitive Retirement and General Release Agreement (the “Agreement”) with Gus Stephas concerning Mr. Stephas’ retirement from the position of Executive Vice President – Chief Operating Officer of the Company. As previously announced, Mr. Stephas continued to serve as an executive officer through September 28, 2018 and his employment with CBL will continue through his retirement date of December 31, 2018, during which time he will be available to assist in the transition of responsibilities to other members of the Company’s executive team. The material terms of the Agreement are as summarized in our prior Current Report in Form 8-K, dated September 4, 2018, announcing Mr. Stephas' retirement, and the full text of the Agreement is filed as an exhibit to this report.
