Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Invesco Mortgage Capital Inc. (the “Company”) announced today that Donald R. Ramon, the Company’s Chief Financial Officer, has submitted his resignation to pursue another opportunity. Mr. Ramon indicated that he has no disagreements with management. Mr. Ramon will continue with the Company until May 15, 2014. The Company will announce a successor Chief Financial Officer in the near future.
