 ITEM 2.02. Results of Operations and Financial Condition

On November 14, 2006, the Company issued a press release announcing, among other things, the Company's financial results for the third quarter ended October 28, 2006.  A copy of this press release is attached hereto as Exhibit 99.1. The Company's Management team held a conference call on November 14, 2006 at 9:00 a.m. Eastern Time to review the aforementioned financial results. Additionally, Management provided its fourth quarter 2006 earnings expectation on the conference call. A replay of the conference call will be available through November 28, 2006.  ITEM 7.01. Regulation FD Disclosure

On November 14, 2006, the Company issued a press release announcing that its Board of Directors has approved a three-for-two stock split of American Eagle Outfitters' common stock. The Board of Directors also declared a quarterly cash dividend of $0.075 per share (adjusted for the aforementioned stock split) payable on January 4, 2007 to stockholders of record at the close of business on December 21, 2006. A copy of the press release is attached hereto as Exhibit 99.3.
