ITEM 8.01   Other Events

     On February 22, 2006, BB&T Corporation (“the Company”) entered into an Accelerated Share Repurchase Agreement with Credit Suisse to facilitate the Company’s purchase of 6.5 million shares of its outstanding common stock. The initial purchase price of the shares was $40.48. The transaction was settled as planned on February 27, 2006.
