                              PART III - NARRATIVE

State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q,
10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be
filed within the prescribed time period.

This is the Company's first filing as an accelerated filer which requires filing
of the Form 10-K within 75 days of the Company's fiscal year-end as compared to
90 days heretofore. Also, pursuant to Section 404 of the Sarbanes Oxley Act of
2002, this is the first year that the Company is required to obtain an auditor's
attestation report on the effectiveness of the Company's internal controls over
financial reporting. As a result of the accelerated filing date as well as the
additional requirements pursuant to Section 404 of the Sarbanes Oxley Act of
2002, the Company has been unable to file its Form 10-K by the accelerated due
date and anticipates filing within the extension period.

The Company expects to report net income of approximately $6,119,000 for the
fiscal year ended June 30, 2006, compared to a net income of approximately
$5,629,000 for the fiscal year ended June 30, 2005 as detailed in the Company's
press release dated September 13, 2006.
