     Emerson Radio Corp. (the “Company”) is unable to file its quarterly report on Form 10-Q for the nine month period ended December 31, 2006, within the time period prescribed for such report without unreasonable effort or expense. The delay in filing is principally attributable to the Company’s need to analyze additional information in order to complete the financial statements.
