Applicant hereby amends this Application for Qualification on such date or dates as may be necessary to delay its effectiveness until (i) the 20th day after the filing of an amendment which specifically states that it shall supersede this Application for Qualification, or (ii) such date as the Commission, acting pursuant to Section 307(c) of the Trust Indenture Act of 1939, may determine upon the written request of the Applicant.

EXPLANATORY NOTE

This Amendment No. 3 to Form T-3 (this “Amendment”) is being filed solely to amend Item 3, to update the Exhibit list and to file Exhibits T3E.5 and T3E.6. This Amendment is not intended to amend or delete any other part of the Application.

Affiliates.

          Item 3 is hereby amended to add “(1)” immediately following “CIT Funding (Ireland) Limited” under the column “Name of Company.” The Applicants’ amended response to Item 3 is as follows:

          The following is a list of entities that may be deemed affiliates of each of the Applicants as of the date of this Application. If the Plan is consummated, then, except with respect to any new affiliates that may result from effectuating the Plan with the persons who are then holders of the Old Notes, the affiliations described in this Item 3 remain the same. The voting securities of each of these entities are owned 100% by its immediate parent unless otherwise indicated. Where an immediate parent owns less than 100% of the stock of its subsidiary, the remainder of the stock is owned by unaffiliated third parties, unless otherwise indicated.
