     This supplements the prospectus of Atlantic Coast Financial Corporation, dated November 12, 2010, and should be read together with such prospectus, a copy of which is attached. This prospectus supplement is being distributed to investors in the following jurisdictions who must meet the qualifications described below in order to participate in the conversion offering.
