EXPLANATORY NOTE
Medicis Pharmaceutical Corporation (the Company) is filing this Amendment on Form 8-K/A (the
Amendment) to the Companys Current Report filed on May 23, 2011 (the Original 8-K) for the
sole purpose of disclosing the Companys decision regarding the frequency of future stockholder
non-binding advisory votes on the compensation of the Companys named executive officers. No other
changes have been made to the Original 8-K.
Item 5.07 Submission of Matters to a Vote of Security Holders.
As previously reported, at the Companys 2011 Annual Meeting of Stockholders held on May 17, 2011
(the Annual Meeting), the stockholders approved, on an advisory basis, every 1 Year as the
frequency of an advisory vote on the compensation of the Companys named executive officers (the
say-on-pay vote). In light of this result and other factors considered by the Companys Board of
Directors (the Board), the Board has determined that the say-on-pay vote will occur on an annual
basis.
