Item 2.02. Results of Operations and Financial Condition.
On July 26, 2005, Centex Corporation, a Nevada corporation (the “Corporation”), issued a press release (the “Press Release”) announcing its results of operations for the quarter ended June 30, 2005, which Press Release was furnished in a current report on Form 8-K submitted by the Corporation on the same date. As previously announced, senior management of the Corporation held a conference call on July 27, 2005 at 10 a.m. Eastern time (9 a.m., Central time) to discuss, among other things, the results of operations of the Corporation for such period. A copy of the materials provided to investors in the form of a webcast in connection with this conference call is being furnished as Exhibit 99.1 hereto. The information contained in such exhibit is incorporated by reference in this Item 2.02, but shall not be deemed filed for any purpose under the Securities Exchange Act of 1934.
Item 7.01. Regulation FD Disclosure.
On July 27, 2005, senior management of Centex Corporation, a Nevada corporation (the “Corporation”), held a conference call to discuss the results of operations of the Corporation for the quarter ended June 30, 2005, other information, and increased earnings per share guidance for the fiscal year ending March 31, 2006.
