Item 2.02. Results of Operations and Financial Condition.

     On October 27, 2005, First Industrial Realty Trust, Inc. (the “Company”) issued a press release announcing its financial results for the fiscal quarter ended September 30, 2005 and certain other information.

     Attached and incorporated by reference as Exhibit 99.1 is a copy of the Company’s press release dated October 27, 2005, announcing its financial results for the fiscal quarter ended September 30, 2005 and certain other information.

     On October 27, 2005, the Company will hold an investor conference and webcast at 1:00 p.m. Eastern time (12:00 p.m. Central time) to disclose and discuss the financial results for the third fiscal quarter of 2005 and certain other information.
