ITEM 2.02 Results of Operations and Financial Condition
On May 2, 2007, MasTec, Inc. (the “Company”) issued a press release announcing its
financial results for the first quarter of the 2007 fiscal year. The press release is attached
hereto as Exhibit 99.1. After the press release, on May 3, 2007, the Company held a conference
call to report the Company’s financials results for the first quarter of the 2007 fiscal year. A
transcript of the earnings conference call is attached hereto as Exhibit 99.2. The information
contained in this Item 2.02 shall not be deemed “filed” with the Securities and Exchange Commission
