     (b) On November 30, 2007, the Registrant was notified by Joseph Burke that when his current term of office as a director expires at the 2007 Annual Meeting of Shareholders he will not be standing for re-election to the Board of Directors. Mr. Burke will continue to serve as a member of the Audit Committee and as a member of the Board of Directors of the Registrant until the expiration of his current term of office as a director.
