SELLING STOCKHOLDERS The "selling stockholders" are those persons who may receive shares of our common stock upon conversion of our 6% Series E Cumulative Convertible and Redeemable Preferred Stock. We originally issued 1,060,000 shares of our Series E preferred stock in a private offering to Southern Assisted Living, Inc., a North Carolina corporation, in connection with the purchase of 32 assisted living facilities and two parcels of land from Southern Assisted Living and certain of its subsidiaries on September 29, 2003. Such shares were issued in payment of $26,500,000 of the purchase price for such facilities. Southern Assisted Living transferred 1,020,000 shares of our Series E preferred stock to the other selling stockholders listed below in a private resale.
