(TSXV:TTD) (OTC:TKSTF) ("Tinkerine" or the "Company") announces the signing of a Definitive Agreement ("Agreement") with Maitri Health Technologies ("Maitri" CSE: MTEC) for the marketing and distribution of Tinkerine's current and future products to global markets, and the design of new medical products and devices that are jointly developed by Tinkerine and Maitri. Maitri's initial focus will prioritize the introduction and delivery of Tinkerine's proprietary products to North American government bodies and organizations.

The Agreement between Tinkerine and Maitri consists of the following subsections that will be subject to additional agreements:
1. Distribution agreement for manufactured Tinkerine Products in Canada and potential expansion into additional regions including the United States.
2. Exclusive license for Maitri to manufacture Tinkerine Products to generate sales and distribution in continental North America (Canada, USA, Latin America) and Europe.
3. Manufacturing agreement wherein Maitri will provide designs of Maitri products for Tinkerine to manufacture.
4. Joint development agreement wherein Maitri will provide potential products and devices for Tinkerine to evaluate and review for potential design, manufacturing, and implementation.
Maitri shall oversee and manage all activities related to testing and certification to ensure all products and devices conform to standards and specifications established by Maitri and applicable law in each specific jurisdiction.
