On December 2, 2005, United-Guardian, Inc. issued a press release
announcing that its Board of Directors had declared a cash dividend of $.22 per
share to all stockholders of record as of December 15, 2005, to be payable on
January 6, 2006. A copy of that press release is furnished as Exhibit 99.1 to
this report.
