(1) Issuable upon exercise of options and the issuance of restricted stock not yet granted under Registrants Amended and Restated 2004 Stock Option Plan (the Plan). Pursuant to Rule 416 of the Securities Act of 1933, as amended (the Securities Act), this Registration Statement also covers such indeterminable number of additional shares as may become deliverable due to future adjustments under terms of the Plan. 600,000 shares under the Registrants initial 2004 Stock Option Plan were registered effective August 26, 2004 (Registration File No. 333-118584), and 250,000 shares under the Registrants Amended and Restated 2004 Stock Option Plan were registered effective May 30, 2007 (Registration File No. 333-143369).
(2) Estimated in accordance with Rule 457(h) of the Securities Act solely for the purpose of calculating the registration fee. The estimates of the proposed maximum offering price per share and the proposed maximum aggregate offering price are based on the average of the high and low prices of the Class A Common Stock as reported on the NYSE Alternext US on January 22, 2009, given that the price, at which options to be granted in the future may be exercised, is not currently determinable.
This Registration Statement shall be deemed to cover securities resulting from stock splits, stock dividends, or similar transactions as provided in Rule 416(c) of the Securities Act. Pursuant thereto, this Registration Statement also covers an indeterminate amount of interests to be offered or sold pursuant to the stock awards plan described herein.

The Companys Certificate of Incorporation and Bylaws, and Indemnification Agreements between the Company and certain of its directors and officers, provide that the Company shall indemnify directors and officers of the Company to the full extent permitted by the Delaware General Corporation Law. Under such provisions any director or officer who, in his capacity as such, is made or threatened to be made, a party to any suit or proceeding, shall be indemnified if such director or officer acted in good faith and in a manner he reasonably believed to be in, or not opposed to, the best interests of the Company. The Certificate of Incorporation, Bylaws, such Indemnification Agreements, and the Delaware General Corporation Law further provide that such indemnification is not exclusive of any other rights to which such individuals may be entitled under the Certificate of Incorporation, Bylaws, such Indemnification Agreements, or any Agreement, vote of stockholders or disinterested directors, or otherwise.
