Item 2.02    Results of Operations and Financial Condition.

On February 6, 2018, NETGEAR, Inc. issued a press release announcing its financial results for its fourth fiscal quarter and full year ended December 31, 2017, the text of which is furnished herewith as Exhibit 99.1.

Item 8.01    Other Events.

On February 6, 2018, NETGEAR, Inc. also issued a press release announcing that its Board of Directors has unanimously approved the pursuit of separation of its Arlo business from NETGEAR. The separation is expected to be effected through an initial public offering of less than 20% of the shares of common stock of Arlo Technologies, Inc., which will hold the Arlo business. The text of this press release is furnished herewith as Exhibit 99.2.
