Item 1.01 | Entry Into a Material Definitive Agreement. |
On March 1, 2019, a wholly-owned subsidiary of the Company was named the successful bidder in the bankruptcy auction to acquire certain intellectual property and related assets (the “Gymboree Assets”) of Gymboree Group, Inc. and related entities. The wholly-owned subsidiary of the Company has agreed to pay $76 million in cash for the Gymboree Assets, which include the worldwide rights to the names “Gymboree” and “Crazy 8” and other intellectual property, including trademarks, domain names, design rights, and customer databases. The acquisition of the Gymboree Assets is subject to the approval of the United States Bankruptcy Court for the Eastern District of Virginia at a hearing scheduled for March 4, 2019 and other standard closing conditions. A copy of the press release is being furnished as Exhibit 99.1 to this Current Report on Form 8-K.

On March 4, 2019, the Company issued a press release containing the Company's financial results for the fourth quarter of the fiscal year ended February 2, 2019 (“Fiscal 2018”) and for Fiscal 2018 and providing an estimated range of adjusted net loss per diluted share for the first quarter of the fiscal year ending February 1, 2020 (“Fiscal 2019”) and of adjusted net income per diluted share for Fiscal 2019. A copy of the press release is being furnished as Exhibit 99.2 to this Current Report on Form 8-K.
