Item 5.03                   Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On April 25, 2019 and effective on the same date, the Board of Directors of 1-800-FLOWERS.COM, Inc. (the “Company”) amended and restated the Amended and Restated By-Laws of the Company (the “Second Amended and Restated By-Laws”).  The Second Amended and Restated By-Laws remove the requirement that the Chairman of the Board shall be the Chief Executive Officer of the Company.  The Second Amended and Restated By-Laws also include additional immaterial modifications intended to update various provisions and to provide additional clarification and consistency.

The foregoing description is qualified in its entirety by reference to the full text of the Second Amended and Restated By-Laws, a copy of which is attached hereto as Exhibit 3.2 and incorporated by reference herein.
