(1) These stock options vested and became exercisable beginning on February 2, 2001.
(2) Consideration for these options is in the form of labor performed for or services actually rendered to Massey Energy Company, having a fair value of not less than the present fair market value of a like number of options of the Common Stock of Massey Energy Company.
 
Remarks:
This Form 4 has been filed by the reporting person in conjunction with several other Forms 4 filed on the same day. This Form 4 reports the stock option exercises of stock options granted to the reporting person on December 7, 1999. Each pair of transactions appearing in Table I is part of a cashless exercise of stock options disposed of in Table II where the amount of the stock purchased is equals the amount of stock sold promptly thereafter.
