Item 8.01. Other Events.

On July 17, 2007, Alfa Corporation (“Alfa Corp.”) announced that it has received an offer from Alfa Mutual Insurance Company, Alfa Mutual Fire Insurance Company and Alfa Mutual General Insurance Company (referred to collectively as “Alfa Mutual”), which collectively own a majority of its common stock, for a transaction which would result in the privatization of Alfa Corp. The press release announcing the offer by Alfa Mutual is furnished as Exhibit 99.1 to this report and is incorporated herein by reference.
