Item 8.01 Other Events.

On August 7, 2007, Consumers Energy Company and the parties in its natural gas rate case submitted a partial settlement agreement to the Michigan Public Service Commission ("MPSC") that would increase Consumers Energy Company’s natural gas rates by approximately $50 million. In addition to this increase, the parties agreed to a briefing schedule regarding an additional $9.3 million rate increase in connection with an energy efficiency proposal. The partial settlement agreement and the energy efficiency proposal are subject to the MPSC’s final approval.
