 Item 5.02     Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain
Officers; Compensatory Arrangements of Certain Officers. 

On March 1, 2018, the Compensation and Workforce Committee (the "Committee") of TrueCar, Inc.'s Board of Directors approved discretionary bonuses related to the fourth quarter of 2017 to Chip Perry, Chief Executive Officer, John Pierantoni, Interim Chief Financial Officer, Neeraj Gunsagar, Chief Marketing Officer, and Michael Guthrie, former Chief Financial Officer, of $195,488, $34,210, $48,872 and $61,090, respectively.
