Item 2.02.     Results of Operations and Financial Condition

On April 28, 2005 Iomega Corporation announced its financial results for the quarter ended April 3, 2005 in a press release entitled, “Iomega Reports First Quarter 2005 Financial Results”. The full text of the press release issued in connection with the announcement is attached as Exhibit 99.2 to this Current Report on Form 8-K.
