This filing relates to a proposed acquisition (the “Acquisition”) by Brandywine Realty Trust (“Brandywine”) of Prentiss Properties Trust (“Prentiss”) pursuant to the terms of an Agreement and Plan of Merger, dated as of October 3, 2005 (the “Merger Agreement”), by and among Brandywine and Prentiss. The Merger Agreement is on file with the Securities and Exchange Commission (the “Commission”) as an exhibit to the Current Report on Form 8-K filed by Brandywine on October 4, 2005.  The Merger Agreement is incorporated by reference into this filing.

Brandywine Realty Trust Announces Fourth Quarter 2005 Dividend


PLYMOUTH MEETING, PA, November 9, 2005 – Brandywine Realty Trust (NYSE:BDN) announced today that its dividend for the fourth quarter of 2005 will be $0.44 per common share, payable on January 17, 2006 to shareholders of record as of November 18, 2005.

The Company also announced its dividend for the fourth quarter of 2005 will be $0.46875 per 7.50% Series C Cumulative Redeemable Preferred Share and $0.460938 per 7.375% Series D Cumulative Redeemable Preferred Share. The Series C and Series D dividends are payable on January 17, 2006 to holders of record of Series C and Series D Preferred Shares on December 30, 2005.
