(1)   Under General Instruction E of Form S-8, this Registration Statement registers an additional 2,000,000 shares of common stock to be issued under the Cardtronics, Inc. 2007 Stock Incentive Plan, which was amended and restated as the Cardtronics, Inc. Amended and Restated 2007 Stock Incentive Plan (the “Plan”). A Registration Statement on Form S-8 (Registration No. 333-149244) was previously filed with the Securities and Exchange Commission (the “Commission”) on February 14, 2008 covering 3,179,393 shares of common stock to be issued under the Plan (the “Prior Registration Statement”).
 
(2)   Estimated solely for purposes of calculating the registration fee pursuant to Rule 457(h) under the Securities Act of 1933, as amended (the “Securities Act”), based upon the average of the high and low prices reported on The Nasdaq Global Market on August 11, 2010 ($14.59 per share).

     This Registration Statement registers an additional 2,000,000 of shares of common stock, par value $0.0001 per share, of Cardtronics, Inc. to be offered under the Plan.
