     Item 2.04. Triggering Events That Accelerate or Increase a Direct Financial Obligation or an Obligation Under an Off-Balance Sheet Arrangement.
     On July 13, 2007, Universal Compression, Inc. (“Universal”) called for redemption all $175 million in aggregate principal amount of its outstanding 71/4 % Senior Notes due 2010. The notes will be redeemed on August 13, 2007. The notes were issued and the redemption will be effected pursuant to the provisions of the Indenture dated as of May 27, 2003 between Universal and The Bank of New York, as trustee. The notes will be redeemed at a redemption price of 103.625% of the principal amount thereof, plus accrued and unpaid interest to the redemption date.
     The descriptions of the notes and the Indenture are set forth under the caption “Description of Notes” in Universal’s prospectus dated July 30, 2003 and filed with the SEC under Rule 424 of the Securities Act of 1933, as amended, on July 31, 2003, which descriptions are incorporated herein by reference. The Indenture and the form of note are filed as Exhibit 4.1 and Exhibit 4.2, respectively, to this Form 8-K and are incorporated in this Item 2.04 by reference.
