Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On December 3, 2008, HealthMarkets, Inc. (the “Company”) and William J. Gedwed announced that Mr. Gedwed has resigned from his position as a Director and Vice Chairman of the Company, effective immediately.

In addition, on December 4, 2008, the Company and Philip Rydzewski announced that Mr. Rydzewski would resign from his position as the Company’s Senior Vice President and Chief Accounting Officer, effective December 31, 2008.
