Item 1.01. Entry into a Material Definitive Agreement.

     On January 17, 2008, the registrant entered into an amendment dated as of January 14, 2008 to its credit agreement (the “Amendment”) with Union Bank of California, N.A. The Amendment extended the term to October 1, 2009. Previously, the credit facility was scheduled to expire on October 1, 2008. A copy of the amendment and the related revolving note are attached hereto as Exhibits 99.1 and 99.2, respectively, and incorporated herein by reference. A copy of the press release the registrant issued on January 17, 2008 announcing the amendment to the credit facility is attached as Exhibit 99.3 and incorporated herein by reference.
