Item 5.02   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
  (b)   On May 7, 2008, G. Wayne Clough resigned as a director of Total System Services, Inc. (“TSYS”), effective June 30, 2008, as a result of his assuming the position of Secretary of the Smithsonian Institution on July 1, 2008. Mr. Clough will continue his relationship with TSYS in the capacity of an emeritus director.
