Item 8.01 Other Events.

Pursuant to the merger agreement among Valeant Pharmaceuticals International, a Delaware corporation, Biovail Corporation, a Canadian corporation (“Biovail”), Biovail Americas Corp., a Delaware corporation and a wholly owned subsidiary of Biovail (“BAC”) and Beach Merger Corp., a Delaware corporation and a newly formed wholly owned subsidiary of BAC, dated as of June 20, 2010 (the “Merger Agreement”), Biovail is required to take all necessary action to cause, effective at the Effective Time (as defined in the Merger Agreement), William M. Wells, Michael R. Van Every and three other directors selected by Biovail, one of whom is a resident Canadian (as defined under the Canada Business Corporations Act), to continue to serve on the board of directors of the Combined Company (as defined in the Merger Agreement).  On July 12, 2010, Biovail’s board of directors selected Mr. Wells, Mr. Van Every, Dr. Laurence E. Paul, Mr. Robert N. Power and Mr. Lloyd M. Segal (who is a resident Canadian) to continue to serve on the board of directors of the Combined Company effective at the Effective Time.
