Spectrum Brands Holdings Board of Directors Approves New $200 Million Common Stock Repurchase Program

Spectrum Brands Holdings, Inc. (NYSE: SPB), a global consumer products company with market-leading brands, announced today that its Board of Directors has approved a new $200 million common stock repurchase program. The authorization is effective for 24 months.

“The Board’s action reflects our strong confidence in the future earnings power and free cash flow generation of our Company,” said David Maura, Chairman of the Board of Spectrum Brands Holdings. “The HHI integration is proceeding smoothly and ahead of schedule, and we are making meaningful progress on our debt reduction initiatives. Therefore, we will continue to look for ways to return capital to our shareholders, in particular when we see the value of our shares trading below our view of their ‘intrinsic value’ based upon our free cash flow metrics.

“We will use this plan in conjunction with our debt reduction goals,” said Mr. Maura. “Given our view of Spectrum Brands’ significant projected free cash flow growth in the coming year and beyond, as we have been communicating to shareholders, we believe authorization of this repurchase program now is an excellent use of our Company’s future excess free cash flow.”

Purchases under the program may be made in the open market or in privately negotiated transactions from time to time at management’s discretion. The repurchase program may be suspended or discontinued at any time.

Spectrum Brands Holdings has approximately 52.2 million shares of common stock outstanding.
