The meeting will be held July 9, 2024, with agenda items that include voting and approving an arrangement with G Mining Ventures. According to the announcement, shareholders will vote to approve a statutory plan of arrangement entered into between Reunion Gold, G Mining Ventures Corp. and Greenheart Gold Inc. The arrangement calls for a new entity to be incorporated to hold and manage the combined business of Reunion Gold and GMIN; the new entity will acquire all of the issued and outstanding common shares in the capital of Reunion Gold as well as GMIN. Reunion Gold will be mailing the joint management information circular and other related materials for the upcoming meeting to holders of Reunion Gold common shares and holders of options to purchase Reunion Gold common shares. A special committee of the Reunion Gold board of directors was created to consider the arrangement; committee members reviewed the arrangement and unanimously recommend that the Reunion Gold board approve the arrangement agreement and recommend that Reunion Gold voting securityholders vote in favor of the arrangement resolution. Other agenda items to be voted on and considered during the meeting include receiving and considering the annual consolidated financial statements of Reunion Gold for the financial year ended Dec. 31, 2023; the election of company directors for the ensuing year; the appointment of Raymond Chabot Grant Thornton LLP as the company’s independent auditor; and the consideration and possible approval of an ordinary resolution ratifying and approving Reunion Gold’s amended and restated share option plan and an ordinary resolution approving the adoption of the Spinco share option plan.
