Little Falls, New Jersey--(Newsfile Corp. - August 27, 2026) - Alliance Advisors, LLC today announced the successful completion of an across-the-board Change of Control proxy solicitation for 62 Janus Henderson mutual funds and exchange-traded funds (ETFs), conducted in connection with the going-private transaction of Janus Henderson Group Ltd. by Trian Fund Management, L.P., General Catalyst Group Management, LLC, and the Qatar Investment Authority.
The solicitation encompassed 62 funds, 15 of which were ETFs. ETFs present unique challenges from a proxy solicitation standpoint, as shareholders tend to move in and out of these vehicles rapidly. As a result, an investor who holds shares on the record date may no longer hold them by the solicitation period and is often reluctant to vote on a position already sold.
"Delivering a quorum on an across-the-board solicitation under tight timeframes can be difficult without the right tools," said Robert Brennan, Chief Operating Officer of Alliance Advisors. "Alliance Advisors has perfected and deployed a suite of proprietary digital tools that reach shareholders where they are and enable instant voting through the channels they're most comfortable using."
Working within the parameters of the transaction's closing date, Alliance Advisors and Janus Henderson agreed on a strategy to secure shareholder approval. Contractual deadlines were met on schedule, allowing the transaction to close on time with no penalties to Janus Henderson.
