(OTCID: TERS) ("Tersis" or the "Company") today announced that it has entered into a Memorandum of Understanding ("MOU") with Ameri-Green Environmental Recycling, LLC ("Ameri-Green") establishing a framework for the parties to pursue a joint venture focused on the deployment and commercialization of Tersis' SynGenic V3 resource-recovery technology in Americus, Georgia.

Under the MOU, the parties intend to designate Ameri-Green's Americus operations as the planned site for the first stateside commercial deployment of the SynGenic V3 system, creating what the companies envision as a reference site for future deployments throughout the region.

The SynGenic V3 is a modular and scalable resource-recovery platform designed to convert waste feedstocks into energy and other recoverable resources. Ameri-Green operates established waste collection, recycling and materials-handling infrastructure in Americus and the surrounding region, providing an operating platform, feedstock relationships and local market experience to support the planned project.

The parties intend to collaborate on site assessment, engineering, feedstock characterization, permitting, regulatory review, project development, technology licensing, operator training and commercialization planning as they work toward a definitive joint venture agreement.

Ameri-Green is expected to contribute its Americus site and related infrastructure, existing waste and recycling operations, feedstock relationships and supply, permits and local regulatory relationships, community relationships, and day-to-day site operations support. Tersis is expected to contribute the SynGenic V3 technology, engineering and process design, technology-development expertise, technology licensing, operator training, project-development capabilities and commercialization support.

The companies also intend to work with local, regional and state economic-development organizations, including the City of Americus, Sumter County, the Sumter County Development Authority and the Georgia Department of Economic Development, to evaluate available incentives, grants, tax credits, workforce-development programs and other public-private partnership opportunities that may support the Americus project.

The MOU represents a precursor to a definitive joint venture agreement and establishes the framework under which the companies will conduct due diligence, advance engineering and project-development activities and negotiate final transaction documents.
